Related Party Transactions (RPTs) sind aufgrund möglicher Interessenkonflikte oft nicht das Ergebnis einer völlig freien Willensbildung der Parteien; die „Richtigkeitsgewähr“ des Vertrags ist dann nicht gesichert. In Österreich und Deutschland wurden mit der 2. AktionärsrechteRL 2019 neue, prozedurale Vorschriften für RPTs eingeführt. Immer noch sind die Regelungen aber im österreichischen und deutschen Gesellschaftsrecht nur rudimentär. Anders ist dies in Delaware, wo es unzählige Gerichtsentscheidungen zu RPTs gibt. Obwohl der europäische Gesetzgeber vergleichsweise spät aktiv geworden ist, zeigt der Vergleich der Rechtsordnungen eine Konvergenz der Regelungsmechanismen für RPTs.
